2. Scope of These Terms

These Terms apply to the sale of agricultural machinery, construction equipment, attachments, spare parts, vehicles, and related services supplied by GGS Construction.

Equipment hire or rental services may be governed by separate written hire terms.

By accepting a quotation, confirming an order, signing a sales agreement, or making payment, the customer agrees to these Terms.

Where a quotation, invoice, order confirmation, or signed agreement contains specific conditions that differ from these Terms, the specific written conditions will take priority.

3. Consumers and Business Customers

A Consumer is an individual purchasing mainly for purposes outside their trade, business, craft, or profession. A Business Customer is any person or organisation purchasing wholly or mainly for commercial or professional purposes.

Certain provisions of these Terms apply differently depending on whether the customer is a Consumer or a Business Customer.

Nothing in these Terms limits any statutory rights that cannot legally be excluded.

4. Equipment Information

We make reasonable efforts to ensure that equipment descriptions, specifications, photographs, prices, operating hours, serial numbers, and availability information are accurate.

Photographs are provided for identification and illustration. Colours and minor details may appear differently depending on lighting, photography, screen settings, maintenance, testing, or preparation.

Operating hours shown for used machinery may increase slightly because of inspection, testing, loading, unloading, or delivery preparation.

We may correct obvious typographical, pricing, or technical errors before accepting an order.

5. Used Equipment

Used equipment may show signs of age, previous use, cosmetic wear, repairs, replacement parts, surface corrosion, tyre wear, track wear, or other characteristics consistent with its age, price, operating hours, and description.

Any material fault known to us will be disclosed where reasonably possible.

Customers are encouraged to:

  • Review all photographs and available documents.
  • Request additional information or videos.
  • Inspect the equipment before purchasing.
  • Ask for clarification about its condition or intended use.

Inspection does not remove a Consumer’s statutory rights.

6. Quotations and Orders

A quotation is valid for the period stated on it. When no validity period is shown, availability and price must be reconfirmed before payment.

Submitting an enquiry or requesting a quotation does not create a binding contract.

A contract is formed when we:

  • Issue written order confirmation;
  • Accept the customer’s signed sales agreement; or
  • Confirm that the required cleared payment has been received.

We may decline an order before a contract is formed where equipment is unavailable, information is incomplete, payment cannot be verified, or an obvious pricing or description error has occurred.

7. Prices and VAT

Unless otherwise stated:

  • Prices are quoted in British pounds sterling.
  • Delivery, loading, customs, registration, insurance, and inspection costs are not included.
  • VAT will be charged where applicable and will be clearly shown on the quotation or invoice.

The customer must pay the total amount shown on the final invoice.

8. Payment by Bank Transfer

We accept payment by bank transfer.

Official bank details will be provided on a GGS Construction quotation, pro forma invoice, sales agreement, or final invoice.

Customers must:

  • Use the invoice or order number as the payment reference.
  • Ensure that the full amount reaches our account.
  • Pay any bank, exchange, or international transfer charges.
  • Verify unexpected requests to change our bank details by calling us directly.

An order will not be treated as paid until the funds have cleared in our nominated bank account.

We will never require payment to a personal bank account.

9. Deposits

Where a deposit is required, the amount and payment deadline will be stated on the quotation or invoice.

The document will also specify:

  • Whether the deposit reserves the equipment;
  • When the remaining balance is due;
  • The circumstances in which the deposit may be retained or refunded.

Any deposit terms remain subject to applicable Consumer cancellation rights.

10. Late Business Payments

Business Customers must pay invoices by the stated due date.

Where legally applicable, we may claim statutory interest and recovery costs on overdue commercial debts under the Late Payment of Commercial Debts legislation.

11. Delivery

Delivery is subject to a separate quotation unless expressly included in the equipment price.

Delivery dates are estimates unless we expressly agree in writing that a particular date is essential.

For Consumer contracts, goods must generally be delivered without undue delay and within 30 days unless another delivery date or period has been agreed.

Delays may occur because of:

  • Carrier availability;
  • Weather or road conditions;
  • Vehicle breakdowns;
  • Special transport permits;
  • Customs procedures;
  • Port disruption;
  • Events outside our reasonable control.

We will provide updated information when a material delay becomes known.

12. Delivery-Site Requirements

The customer must provide complete and accurate delivery information and ensure that the site:

  • Is accessible to the transport vehicle;
  • Has sufficient manoeuvring and unloading space;
  • Has stable and suitable ground;
  • Is free from dangerous obstructions;
  • Has suitable unloading equipment where required.

The customer must disclose restricted roads, low bridges, narrow entrances, weight restrictions, steep slopes, soft ground, or other access difficulties before transport is booked.

Additional transport, waiting, storage, recovery, or redelivery costs caused by incorrect information or unsuitable access may be charged to the customer.

13. Inspection on Delivery

The customer should inspect the equipment and accessories when they are delivered.

Visible damage, missing items, or transport concerns should be:

  • Recorded on the carrier’s delivery document;
  • Photographed where possible; and
  • Reported to GGS Construction promptly.

Signing a delivery document does not remove any statutory Consumer rights regarding faults that could not reasonably have been identified immediately.

14. Risk and Ownership

For Consumers, risk normally passes when the customer or a person nominated by the customer takes physical possession of the goods. Different rules may apply when the Consumer independently appoints a carrier that we did not offer.

For Business Customers, risk passes when:

  • The equipment is delivered to the agreed location;
  • The customer collects it; or
  • It is handed to a carrier appointed independently by the customer.

Ownership of the equipment remains with GGS Construction until all amounts due under the relevant contract have been received in cleared funds.

15. Consumer Cancellation Rights

A Consumer who purchases equipment through a distance contract, such as online, by telephone, or by email, will generally have the right to cancel without giving a reason within 14 days after receiving the equipment. After notifying us, the Consumer generally has a further 14 days to return it.

Because heavy machinery cannot normally be returned by ordinary post, the Consumer must contact us before arranging transport.

Unless we have agreed to pay or arrange collection, the Consumer may be responsible for the direct cost of returning the equipment where this has been properly disclosed before the contract.

We may make a lawful deduction for loss in value caused by handling or use beyond what would reasonably be necessary to inspect the equipment. Refunds are generally made within 14 days after the returned goods or satisfactory evidence of return is received.

The cancellation right may not apply to equipment manufactured, modified, or personalised to the customer’s specifications.

Business Customers do not have an automatic cooling-off right unless one is expressly agreed in writing.

16. Faulty Equipment and Consumer Rights

For Consumers, equipment must be:

  • Of satisfactory quality;
  • Fit for any particular purpose made known and accepted; and
  • As described.

Depending on the circumstances, statutory remedies may include the short-term right to reject, repair or replacement, a price reduction, or a final right to reject. The short-term rejection period is generally 30 days.

The expected quality of used equipment is assessed with regard to its description, age, price, condition, operating hours, and other relevant circumstances.

Nothing in our Warranty or After-Sales policy replaces or restricts mandatory Consumer rights.

17. Commercial Warranty

Any commercial warranty supplied with equipment will be stated in the quotation, invoice, or warranty document.

Warranty coverage may depend on:

  • Whether the equipment is new or used;
  • The manufacturer’s warranty;
  • The machine’s age and operating hours;
  • Servicing and maintenance requirements;
  • Any stated exclusions.

Customers must not arrange significant repairs, dismantling, or replacement parts under a warranty claim without first obtaining our written authorisation, except where immediate action is reasonably necessary for safety or to prevent serious additional damage.

18. Customer Responsibilities

The customer is responsible for:

  • Ensuring the equipment is suitable for its intended use;
  • Employing trained and competent operators;
  • Following operating and safety instructions;
  • Carrying out required servicing and maintenance;
  • Using suitable fuels, fluids, parts, and attachments;
  • Obtaining required insurance, registrations, licences, inspections, and permits;
  • Complying with applicable health and safety requirements.

The equipment must not be overloaded, misused, operated unsafely, or modified in a way that may affect safety or reliability.

19. International Orders

For equipment delivered outside the United Kingdom, the customer is responsible for import requirements unless otherwise agreed in writing.

These may include:

  • Customs duties;
  • Import taxes;
  • Local VAT;
  • Registration charges;
  • Inspections or certifications;
  • Port and storage charges;
  • Compliance with local equipment regulations.

The customer must provide accurate information and documents required for export and import procedures.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation;
  • Deliberate wrongdoing;
  • Breach of rights that cannot legally be excluded;
  • Any other liability that the law does not permit us to limit.

Liability for death or personal injury caused by negligence cannot be excluded by contractual terms.

Business Customers

Subject to the paragraph above, we will not be liable to a Business Customer for indirect or consequential loss, loss of profit, loss of revenue, loss of production, loss of contracts, loss of opportunity, or business interruption.

Subject to legal review and applicable law, our total liability relating to an order will not exceed the total price paid for the equipment giving rise to the claim.

Consumers

We are responsible for reasonably foreseeable loss caused by our breach of contract or failure to use reasonable care and skill.

We are not responsible for business losses where a Consumer purchases equipment mainly for private purposes.

21. Events Outside Our Control

We are not responsible for delay or failure caused by events outside our reasonable control, including severe weather, natural disasters, strikes, transport disruption, government restrictions, war, civil disturbance, fire, epidemics, customs delays, supplier failure, or major technical failure.

We will take reasonable steps to reduce the effect of the event and resume performance when reasonably possible.

22. Website Use

Website content is provided for general information and may be updated without notice.

Customers must not:

  • Misuse the website;
  • Attempt unauthorised access;
  • Introduce malicious software;
  • Copy protected content for commercial use without permission;
  • Submit fraudulent enquiries or payment information.

Product availability displayed on the website is not guaranteed until an order is confirmed.

23. Personal Information

Personal information is handled in accordance with our Privacy Policy and Cookie Policy.

Customers must provide accurate contact, billing, delivery, and identification information where reasonably required to process an order.

25. Governing Law and Jurisdiction

These Terms and all contracts between GGS Construction and Business Customers are governed by the laws of Scotland.

Business Customers agree that the Scottish courts will have exclusive jurisdiction.

Consumers retain any mandatory rights to bring proceedings before another court available to them under applicable law.

26. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.

A delay in enforcing a contractual right does not mean that the right has been waived.

No person other than the customer and GGS Construction may enforce the contract unless expressly agreed in writing.

For Business Customers, the written quotation, order confirmation, invoice, these Terms, and any signed sales agreement form the entire agreement relating to the order.
